    New opportunity based in Billerica, MA for a Corporate Paralegal to support Bruker’s SEC, entity maintenance, corporate governance and compliance programs and provide assistance with SEC and public company matters. The Corporate Paralegal reports to the General Counsel and Global Head of Compliance.


    Assistance with SEC and public company matters, including:

    • Preparation and filing of Section 16 reports for directors and officers
    • Annual Reports, Quarterly Reports, Proxy Statement and Annual Shareholder Meeting
    • Quarterly earnings release process
    • Coordinate annual D&O questionnaire process

    Assistance with maintaining and organizing corporate subsidiaries, including:

    • Coordinate with outside counsel and accountants on required minutes, financials, annual reports and similar matters for all Bruker subsidiaries worldwide
    • Keep corporate record books well organized and up to date
    • Maintain organizational structure charts
    • Maintain database of personal information and handle external requests regarding subsidiary directors
    • Assistance with intercompany agreements

    Assistance with corporate governance matters, including:

    • Preparation and organization of Board of Directors and Committee minutes, record books, and Board and Committee meeting materials via a Board portal
    • Annual review of corporate governance documentation, including committee charters
    • Maintain calendar of Board and Committee meeting agenda items
    • Assist with board and committee self-evaluation process
    • Assist with equity compensation and stock plan administration

    Assistance with corporate compliance program, including:

    • Administration and tracking global compliance trainings
    • Assist with administration of confidential reporting helpline and helpline awareness campaign
    • Maintain compliance portion of company intranet
    • Assist with review and update of global compliance policies
    • Assist with compliance training programs
    • Assist with enterprise risk management activities

    Assistance with general legal department management, including:

    • Track outside counsel and service provider spending
    • Maintain agenda for Bruker-wide legal and compliance team meetings
    • Establish contract management solution for corporate and enterprise-wide contracts


    Perform other duties as required.


    • Minimum 10+ years’ work experience within a public company work environment, including recent involvement with enterprise risk management, equity compensation, and stock plan administration
    • Associate Degree and Paralegal Certification
    • Basic understanding of corporate structure and general corporate formalities
    • Experience with export compliance matters and data privacy considered a plus
    • Self-starter, quick learner with ability to work independently and collaborate within a team
    • High level of confidentiality, discretion and integrity
    • Proven ability to work cross-functionally in a global environment and sensitivity to and an understanding of cultural differences
    • Advanced proficiency with Microsoft Office applications (Word, Excel, Outlook, PowerPoint), and Windows.
    • Excellent communication and interpersonal skills
    • Strong project management, organizational, and time management skills with demonstrated ability to effectively manage multiple work priorities and deliverables.
    • Proven ability to execute for results in a fast-paced, multi-task environment
    • Attention to detail and problem-solving skills
    • U.S. Citizenship or U.S. Permanent Resident status required
    • Ability to maintain a valid passport with flexibility for 5% domestic and/ or international travel
    • May be required to pass security clearance investigation.
